This Tax Sharing Agreement (the “Agreement”), dated as of December21, 2005, is made and entered into by and among CCMG Holdings, Inc., a Delaware corporation (“Holdings”), CCMG Corporation, a Delaware corporation and wholly owned subsidiary of Holdings (“CCMG”), The Hertz Corporation, Inc., a Delaware corporation and wholly owned subsidiary of CCMG (“Hertz”) and Hertz International Ltd., a Delaware corporation (the “Company”). This Agreement shall become effective and binding upon the parties hereto immediately upon the effective time of the Acquisition (as defined below) (the “Effective Time”).
