THIS INVESTMENT MONITORING AGREEMENT (this “Agreement”), dated as of September 16, 2009, is entered into by and between CAPRIUS, INC., a Delaware corporation (the “Company”), and Vintage Capital Group, LLC, a Delaware limited liability company (together with its successors and assigns, “Investor”). Capitalized terms not defined herein shall have the same meaning ascribed to them in the Securities Purchase Agreement (as defined below).

NEWPORT COAST SECURITIES, INC. INVESTMENT MONITORING AGREEMENT

The undersigned ("Client") hereby retains Newport Coast Securities, Inc., a California corporation ("NCS"), to monitor and manage Client's (a) mutual funds or other registered investment company accounts (“Mutual Funds”), (b) investment accounts (“Investment Accounts”) held at a financial institution (“Financial Institution”) or (c) annuity products issued by an insurance company (“Annuity”), which are designated on the signature page of this Agreement (the "Monitored Account(s)") through the independent investment advisor representative listed on the signature page (“IAR”) under the terms of this Investment Monitoring Agreement (“Agreement”) as set forth below:
