This STOCK AWARD AGREEMENT (this “Agreement”), dated as of ___, ___(the “Effective Date”), is between Irvine Sensors Corporation, a Delaware corporation (the “Company”) and ___, an individual resident of ___(“Participant”). This Stock Award is granted under the Irvine Sensors Corporation 2006 Omnibus Incentive Plan (the “Plan”) and is subject to the terms of that Plan. This Agreement represents the Company’s unfunded and unsecured promise to issue common stock of the Company, $0.01 par value (“Common Stock”) at a future date, subject to the terms of this Agreement and the Plan.
