THIS TERM LOAN AGREEMENT, dated as of May 18, 2006, is among Global Geophysical Services, Inc., a Delaware corporation qualified in Texas as GGS Seismic, Inc. ("Borrower"), the several banks and other financial institutions or entities from time to time parties to this Agreement (the "Lenders"), and GUGGENHEIM CORPORATE FUNDING, LLC, as administrative agent for such Lenders (in such capacity, the "Administrative Agent").
