AGREEMENT made this 31st day of December, 2005, among John Hancock Advisers, LLC, a Delaware limited liability company (the “Adviser”), Sovereign Asset Management LLC, a Delaware limited liability company (the “Sub-adviser”), and each of the trusts that is a signatory hereto (each, a “Trust” and together, as applicable, the “Trusts”).
