THIS AGREEMENT is made and entered into this 9th day of January, 2006 by and between UNION ELECTRIC COMPANY ("UE") a Missouri corporation, CENTRAL ILLINOIS PUBLIC SERVICE COMPANY ("CIPS") an Illinois corporation, and AMEREN ENERGY GENERATING COMPANY (“GENCO”), an Illinois corporation, referred to collectively as "Parties" and singularly as "Party," all of whose common stock is wholly owned by Ameren Corporation, hereinafter called "Parent", a Missouri corporation.
