WHEREAS, there is a dispute between Fran Shoenthal McQueen (“Claimant”) and the Parties arising out of Claimant being separated from and subsequently not being chosen to fill the position of Solicitor for the Parties, including potential claims referenced in a May 5, 2022 letter from Claimant’s attorney to the Parties (the “Claims”); and
