THIS JUNIOR MEZZANINE CREDIT AGREEMENT (this “Agreement”) is made and dated as of the 1st day of August, 2005 (“Effective Date”), by and among TE/TOUSA MEZZANINE TWO, LLC, a limited liability company organized under the laws of the state of Delaware (“Borrower”); THE LENDERS FROM TIME TO TIME PARTY HERETO (collectively and severally, the “Lenders”); and DEUTSCHE BANK TRUST COMPANY AMERICAS (“DBTCA”), as administrative agent for the Lenders (in such capacity, the “Administrative Agent”).
