(this "Agreement") is dated as of , 2020 (the "Effective Date"), by and between WINDY HILL PV FOURTEEN MF, LLC, a Delaware limited liability company ("Windy Hill"), and CARBON PROPERTIES LLC, a California limited liability company ("Carbon"), with reference to the terms and provisions set forth herein. Windy Hill and Carbon may be individually referred to as a "party" or may be collectively referred to as the "parties."
