This Agreement, dated as of September 9, 2009 (the “Agreement”), is entered into by and between XOMA (Bermuda) Ltd., a Bermuda company having its registered office at Clarendon House, 2 Church Street, Hamilton HM CX, Bermuda (“XOMA Bermuda”), XOMA (US) LLC, a Delaware limited liability company having offices at 2910 Seventh Street, Berkeley, California, USA (“XOMA US”) and Genentech, Inc., a Delaware corporation having offices at 1 DNA Way, South San Francisco, California, USA (“GENENTECH”).
