This agreement (the “Agreement”) is effective August 15, 2014 by and between Corgenix Medical Corporation a corporation organized and existing under the laws of the State of Nevada and having its principal place of business at 11575 Main Street, Suite 400, Broomfield, Colorado, 80020 (hereinafter referred to as “Corgenix”); and Eli Lilly and Company, a corporation organized and existing under the laws of Indiana and having its principal place of business at Lilly Corporate Center, Indianapolis, IN (hereinafter referred to as “Lilly”).
