In this Agreement, Corning Incorporated, a New York corporation, having its principal place of business at One Riverfront Plaza, Corning, NY 14831 (hereafter “CORNING”), and Multicell Technologies, Inc., a Delaware corporation, having its principal place of business at 701 George Washington Highway, Lincoln, RI 02865 (hereafter “MULTICELL”), agree as follows:
