THIS LICENSE EXCHANGE AGREEMENT (“Agreement”), dated as of January 5, 2014, is entered into by and among (i) T-MOBILE USA, INC., a Delaware corporation (“T-Mobile”) and T-MOBILE LICENSE LLC, a Delaware limited liability company (“T-Mobile License” and collectively with T-Mobile, the “T-Mobile Parties”), and (ii) CELLCO PARTNERSHIP, a Delaware general partnership doing business as Verizon Wireless (“VZW”), VERIZON WIRELESS (VAW) LLC, a Delaware limited liability company (“VZW VAW”), ATHENS CELLULAR, INC., a Delaware corporation (“Athens”), and VERIZON WIRELESS OF THE EAST LP, a Delaware limited partnership (“VZW East” and collectively with VZW, VZW VAW and Athens, the “VZW Parties”).
