LIMITED CONSENT TO FINANCING AGREEMENT, dated as of May 26, 2015 (this “Consent”), to the Financing Agreement, dated as of December 4, 2014 (as amended, restated, supplemented or otherwise modified from time to time, the “Financing Agreement”), by and among ITT Educational Services, Inc.
