This agreement is a loan agreement between a lender and a Dealer Member in which the lender has agreed to loan an amount to the Dealer Member under the terms in the agreement and Schedule 1 accompanying the agreement. The amount loaned is to be used is to be used in the business of the Dealer Member for the acquisition or financing of securities issued by the lender. The financed securities represent claims by the lender under the agreement.
