RapidReporter® Limited-use Label License

This License Agreement applies to the purchased RapidReporter® materials: This license applies to the materials contained in the attached package (the “materials”). The use of such materials is subject to the terms and conditions of this Label License. Any use of the materials other than in accordance with these terms and conditions will amount to a breach of the license for which you as the recipient may be liable, including for patent infringement. The materials comprising the product in the attached package are sold under license from GeneStream Pty Ltd and are covered by patent families WO02072844 and WO1999/049019; including U.S. Patent Nos. 6,232,107; 6,436,682; 6,780,974 and various other patents worldwide.

This Limited Use Label License specifically refers to plasmids listed in Schedule A (on the reverse of this page). The purchase of any these plasmids from Aldevron provides a license and conveys to the buyer limited, non-transferable rights to use the plasmids for "GMP Production and Research Purposes”, as defined below, subject to the conditions set out in this License Agreement.

Collection (“ATCC”) for the iPS Material (defined below). The receipt of iPS Material conveys to the Recipient, a non- transferrable, limited right to use iPS Materials, made available from ATCC and generated pursuant to a license agreement between ATCC, and iPS Academia Japan, Inc. (“iAJ”) and/ or DNAVEC Corporation (“DNAVEC”) or both. By using the iPS Materials, Recipient agrees to be bound by the terms of this Limited Use Label License. Where such terms of the ATCC Material Transfer Agreement and this Limited Use Label License conflict, this Limited Use Label License and its terms and conditions shall supersede.

This Limited Use Label License (“LULL”) is the agreement between you (Recipient) and American Type Culture Collection (“ATCC”) for the Geron material. The receipt of Geron material conveys to the Recipient, a non-transferrable, limited right to use this material, made available from ATCC. By using the Geron material, Recipient agrees to be bound by the terms of this Limited Use Label License. Where such terms of the ATCC Material Transfer Agreement and this Limited Use Label License conflict, this Limited Use Label License and its terms and conditions shall supersede.

The purchase of any these (pALD) Plasmids from Aldevron provides a non-exclusive license and conveys to the buyer limited, non-transferable rights to use the Plasmids for GMP Production and Research Purposes but not for any Competitive Purpose, as such expressions are defined below, subject to the conditions set out in this Limited Use Label License Agreement. The use of any Plasmid for a Competitive Purpose is strictly forbidden.

The transfer of this product is conditioned on the buyer using the purchased product solely in research conducted by the buyer, excluding contract research or any fee for service research, and the buyer must not (1) use this product or its components for (a) diagnostic, therapeutic or prophylactic purposes; (b) testing, analysis or screening services, or information in return for compensation on a per-test basis; or (c) manufacturing or quality assurance or quality control, and/or (2) sell or transfer this product or its components for resale, whether or not resold for use in research.
