Reference is made to that certain Employment Agreement dated as of August 1, 1995 (as modified effective January 18, 2001, as set forth in Section 15 thereof, and as otherwise heretofore amended) (the "Agreement") between ACTV, Inc. ("ACTV") and the under-signed, and specifically to Section 4(b)(ii) thereof.
