THIS LOAN AND SECURITY AGREEMENT-INVENTORY, dated as of December 16, 2005, entered into by and among SILVERLEAF RESORTS, INC., a Texas corporation, having an address of 1221 River Bend Drive, Suite 120, Dallas, Texas 75247 (as “Borrower”), the parties, including WELLS FARGO FOOTHILL, INC., a corporation established under the laws of the State of California, having an office and place of business at 13727 Noel Road, Suite 1020, Dallas, Texas 75240 which execute and deliver this Agreement or a joinder agreement to this Agreement in their respective capacities as Lenders hereunder (collectively, the “Lenders” and each individually a “Lender”) and WELLS FARGO FOOTHILL, INC. as facility agent and collateral agent (“Agent”).

This Second Amendment to Loan and Security Agreement – Inventory (this “Second Amendment”) is made and entered into this 4th day of June, 2008 by and among SILVERLEAF RESORTS, INC., a Texas corporation (“Borrower”); the parties, including WELLS FARGO FOOTHILL, INC., a California corporation, who have executed the Original Loan Agreement (as hereinafter defined) or a joinder agreement thereto in their respective capacities as lenders (collectively the “Lenders” and individually a “Lender”); and WELLS FARGO FOOTHILL, INC., a California corporation, in its capacity as facility agent and as collateral agent (“Agent”).
