This is a Lock Box Operating Agreement (the "Agreement"), entered into as of this ____ day of October, 1996, by and between Manufacturers and Traders Trust Company, with an office for the conduct of business located at 44 Exchange Street, Rochester, New York, 14614 (the "Bank") and Delta Computec Inc. ("DCI"), and DCI's wholly-owned subsidiary, Delta Data Net, Inc. ("DDI" and, collectively with DCI, the "Customer"), each of which have an office for the conduct of business located at 900 Huyler Street, Teterboro, New Jersey 07608, to govern a post office lock box arrangement between the parties to this Agreement. This Agreement is for the benefit of Joseph M. Lobozzo II ("Lobozzo") pursuant to a certain Amended and Restated Promissory Note of even date herewith. The Bank acknowledges that it is acting as agent for Lobozzo for the purpose of perfecting Lobozzo's security interest in certain assets of the Customer under the Uniform Commercial Code.
