FOLLOWS:1. DEFINITIONS. 1.1 “Background IP” means all Intellectual Property belonging to or controlled by either Party, (i) developed, conceived, obtained, or acquired prior to the Effective Date of this Collaboration Agreement; or (ii) developed, conceived, obtained or acquired either independently of this Collaboration Agreement or not pursuant to the Collaboration. 1.2 “Collaboration” means the research and contributions that the Parties make; and their respective individual tasks in support of their joint research, as set forth in the Research Project Document (hereinafter refer to as “RPD”), attached as Exhibit A. 1.3 “Collaboration Inventions” means inventions that are conceived and reduced to practice jointly by Personnel of both Parties under this Collaboration Agreement pursuant to the Collaboration. 1.4 “Collaboration Copyrights” means copyrightable works of authorship (including without limitation computer software and written materials) which are developed or created jointl
