This Software as a Service Agreement, effective as of the Effective Date (defined below), is entered into by and between Grass Valley USA, LLC located at 310 Providence Mine Road, Nevada City, CA 95959 on behalf of itself and/or any of its Affiliates (“Grass Valley” or “GV”) and the party identified in the signature block below or identified in the Proposal (“Managed Service Provider”). Grass Valley and Managed Service Provider are each a “Party” and collectively the “Parties.”
