This letter shall confirm the agreement between Thayer-BLUM Funding, L.L.C., a Delaware limited liability company (the "Consultant") and Suntron Corporation, a Delaware corporation (the "Company"), pursuant to which the Consultant shall render to the Company certain management and consulting services in connection with corporate development activities and the operation and conduct of the Company's business.
