AGREEMENT (this “Agreement”) is made and entered into as of the _7th day of _September , 2023 (the “Effective Date”), by and between the CITY OF CLAYTON, OHIO, an Ohio municipal corporation (the “City”), and the MONTGOMERY COUNTY TRANSPORTATION IMPROVEMENT DISTRICT, a transportation district and body corporate and politic duly organized and validly existing under the laws of the State of Ohio (the “TID”) (the City and the TID are sometimes referred to herein individually as “Party” and collectively as “Parties”), under the following circumstances:
