This CEFCO Process Manufacturing Licensing Agreement (this “Agreement”) is made and entered into to be effective as of July 12, 2010 (the “Effective Date”), by and between CEFCO Global Clean Energy, LLC (the “Company”), a Texas limited liability company, and Peerless Mfg. Co., (“Peerless”), a Texas corporation, (each a “Party” and collectively “Parties”).
