This letter (“Letter Agreement”), dated as of 2/05/07 (“Effective Date”), sets forth the terms under which Jabil Circuit, Inc. (“Jabil”) will provide to Arastra (“Company”) those manufacturing services specifically identified in Schedule 1 hereto (“Manufacturing Services”). Company and Jabil are referred to herein as “Party” or “Parties”. Jabil and Company have agreed that the terms and conditions set forth in this Letter Agreement shall control and govern our Manufacturing Services relationship prior to the execution of a more detailed and definitive Manufacturing Services Agreement, and that any prior agreements executed, discussions had or negotiations engaged in, between the Parties before the Effective Date shall have no force or effect with regard to the Manufacturing Services except that Company shall remain [ ] to pay Jabil the price of all work performed by Jabil thereunder.
