This MASTER ACQUISITION AND MAINTENANCE AGREEMENT (“Agreement”) is entered into by and between Canon Solutions America, Inc. (“CSA”) and its customer, Will County, Illinois and Will County Board of Health (collectively “you” or “Customer”) for a period of thirty six (36) months as of the stated date of your signature below. Each Schedule (as defined below) referring to this Agreement will constitute a separate agreement for the acquisition (by purchase, or by lease pursuant to the CFS Lease Agreement (as defined below)) and (if selected by you) service of the Listed Items described therein and shall incorporate the terms of this Agreement. Expiration or Termination of this Agreement shall not affect any Schedules then in effect, and the obligations of the parties under this Agreement incurred prior to the expiration or termination of this Agreement shall survive such expiration or termination.
