MASTER ASSET SWAP AGREEMENT, dated as of December 31, 2006 (this “Agreement”), by and between Allegheny Energy Supply Company, LLC, a Delaware limited liability company (“AE Supply”) and Monongahela Power Company, an Ohio corporation (“Mon Power”).
