THIS AGREEMENT (“Agreement”) is entered into as of this 15th day of February, 2010 (“Effective Date”) by and between Drinks Americas Holdings, Ltd. (“DA”), a Delaware corporation, having offices at 372 Danbury Road, Wilton, CT 06897, and Mexcor, Inc., a Texas corporation having an office at 8950 Railwood Drive, Houston, TX 77078 (“Mexcor”). DA and Mexcor are sometimes referred to individually as a “Party” or collectively as the “Parties.”
