This Master Electric Energy Services and Sales Agreement ("Agreement"), is entered into as of this [____] day of December, 2000 (the "Effective Date"), by and between ENRON ENERGY SERVICES, INC., a Delaware corporation ("EESI"), and ENRON COMPRESSION SERVICES COMPANY, a Delaware corporation ("Customer"). EESI and Customer are also referred to herein individually as a "Party" and collectively as the "Parties." Capitalized terms used herein but not defined are defined on Exhibit A.
