This Master Field Practicum Memorandum of Agreement (the “MOA”) is between the Department of State Health Services (“TX HHS”) and The University of Texas Health Science Center at Houston (“Institution”) and states the terms and conditions applicable to placement of the Institution’s interns and residents in training at TX HHS facilities. The faculty, interns and residents in training of the Institution are collectively referred to in this MOA as “Participants.” Institution and TX HHS are collectively referred to in this MOA as the “Parties,” and each a “Party.”

Exhibit A-2 to the MOA is subject to termination or cancellation, without penalty to TX HHS, either in whole or in part, subject to the availability of state funds. TX HHS is a state agency whose authority and appropriations are subject to actions of the Texas Legislature. If TX HHS becomes subject to a legislative change, revocation of statutory authority, or lack of appropriated funds that would render TX HHS Exhibit A-2 impossible or unnecessary, Exhibit A-2 will be terminated or cancelled and be deemed null and void. In the event of a termination or cancellation under this paragraph, TX HHS will not be liable to Institution for any damages that are caused or associated with such termination, or cancellation of Exhibit A-2, and TX HHS will not be required to give prior notice.
