This Master Option and Non-Exclusive License Agreement (“Agreement”) is made effective the day of , 201_, (“Effective Date”) by and between the Orlando Utilities Commission, a statutory commission under the laws of Florida, with offices at 100 West Anderson Street, Orlando, Florida 32801 (“OUC”), and XXX a corporation, with its principal offices at xxxxxxx (hereinafter “Licensee”). Each may be referred to as a “party” and/or jointly the “parties”. OUC and Licensee agree to be bound by all provisions of this Agreement. The parties acknowledge that this Agreement shall take precedence over any prior communications, understandings and/or agreements between the parties and that any previous master option and non-exclusive license agreement(s) are deemed null and void as of the Effective Date of this Agreement.
