day of , 2020 (the "Effective Date"), by and between the HOUSING AUTHORITY OF THE COUNTY OF MARIN, a public body corporate and politic, organized and existing under the laws of the State of California ("Authority"), and THE MICHAELS DEVELOPMENT COMPANY I, L.P., a New Jersey limited liability partnership ("Developer"), on the basis of the following purposes, intentions, and facts. The Authority and the Developer are referred to in this Agreement collectively as the "Parties" and individually as a "Party".
