This letter (the "Letter") sets forth the agreement of the above-referenced parties and Nextel Partners Operating Corp. ("Partners") regarding the Site Commitment Agreement and that certain designation letter attached hereto as Annex A and incorporated herein by reference (the "Designation") among Nextel WIP Corp. ("NWIP"), Partners, and Nextel Partners, Inc. Capitalized terms used in this Letter but not otherwise defined herein shall have the same meanings assigned to them in the Site Commitment Agreement.
