Each Statement of Work issued by Logicalis is an offer to sell professional services, managed services or cloud services to purchaser (“Customer”) and includes and is governed by this Master Solutions Agreement. Logicalis’ SOW and this Master Solutions Agreement shall be deemed accepted by Customer upon Logicalis’ receipt of a purchase order or a signed SOW. Acceptance of Logicalis’ SOW and this Master Solutions Agreement is expressly limited to the terms contained in Logicalis’ SOW and this Master Solutions Agreement. Logicalis rejects any terms and conditions contained in Customer's forms that are additional to or different from those set forth in Logicalis’ SOW or in this Master Solutions Agreement.

This Master Solution Agreement (the “Agreement”) is a legal agreement entered into by and between the Customer identified on an order form (“Customer”) and governs any executed order forms, quotes, or other ordering document (“Order Form(s)”) that reference this Agreement and may be issued to Customer by Arctic Wolf Networks, Inc. (“Arctic Wolf”) or an Arctic Wolf authorized partner (“Authorized Partner”). This Agreement is effective on the date Customer executes the Order Form or submits a matching purchase order to Arctic Wolf or its Authorized Partner (the “Effective Date”). This Agreement permits Customer to purchase subscriptions to the Solutions identified in the Order Form from Arctic Wolf or such Authorized Partner and sets forth the terms and conditions under which those Solutions will be delivered. This Master Solutions Agreement (this “Agreement”) is entered and made on the earlier of: (i) the date of final signature below; (ii) the date the last Party signs an Order Form, as defined below, referencing this Agreement; or (iii) as applicable, the date of download, access, copy, install, use or purchase on the Fortra Portal (the “Effective Date”) by and between Fortra, LLC, on behalf of itself and its affiliated entities (collectively, “Fortra”), and you (“Client” or “You”). This Agreement sets forth the standard terms and conditions applicable to the services, software, and/or appliances (each, a “Solution”, and collectively, the “Solutions”) ordered by Client. This Agreement incorporates by reference any Solution Specific Schedules, as defined below, addendums, and/or Order Forms and any such referenced and incorporated ancillary document shall form part of this Agreement. PLEASE READ THIS MASTER SOLUTIONS AGREEMENT (THE “AGREEMENT”) CAREFULLY BEFORE USING THE SERVICES OFFERED BY CONFIR D/B/A REQUESTNOW (“REQUESTNOW”) AND ITS AFFILIATES. BY ENTERING INTO ONE OR MORE ORDERS WITH REQUESTNOW WHICH REFERENCE THESE TERMS, YOU (“CUSTOMER”) AGREE TO BE BOUND BY THIS AGREEMENT TO THE EXCLUSION OF ALL OTHER AGREEMENTS. EACH ORDER SHALL BE INCORPORATED INTO AND FORM PART OF THIS AGREEMENT. IN ADDITION, ANY ONLINE ORDER WHICH YOU SUBMIT VIA REQUESTNOW’ STANDARD ONLINE PROCESS AND WHICH IS ACCEPTED BY REQUESTNOW SHALL BE DEEMED TO BE MUTUALLY EXECUTED.
