This McKesson Alabama Settlement Agreement (“Agreement”) sets forth the terms and conditions of a settlement agreement between the State of Alabama and McKesson Corporation (“McKesson”) (collectively, the “Parties”) to resolve opioid-related Claims against McKesson. This Settlement is intended by the Parties to fully, finally, and forever resolve, discharge, and settle the “Released Claims” (as defined below) of the State of Alabama as well as its Subdivisions (as defined below), upon and subject to the terms and conditions hereof.
