THIS MEMBERSHIP PURCHASE AGREEMENT AND PLAN OF REORGANIZATION, dated as of June 12, 2009 (the “Agreement”), among Minatura Gold, a Nevada corporation (“MGOL”), Gold Ventures 2008, LLC., a Nevada Limited Liability Company (the “Company”) and Flat Holdings, LLC, a Nevada limited liability company (“Seller”). Together MGOL, GV, and the Seller, are referred to collectively as the “Parties.”
