This Membership Withdrawal Agreement (this “Contract”) is dated as of April 11th, 2024 (the “Agreement Date”), by and between TRI-STATE GENERATION AND TRANSMISSION ASSOCIATION, INC., a Colorado cooperative corporation (“Tri-State”) and UNITED POWER, INC., a Colorado cooperative association (“United Power”). Tri-State and United Power are each sometimes hereinafter individually called a “Party” and collectively called the “Parties.”
