This Notice of Credit Modification Date is delivered pursuant to that certain Modal Agreement dated as of _ , 2014 (the “Modal Agreement”), between The Board of Trustees of the University of Illinois (the “Board”) and The Bank of New York Mellon Trust Company, N.A., as bond registrar and paying agent (the “Bond Registrar”), relating to the University of Illinois Variable Rate Demand Auxiliary Facilities System Revenue Bonds, Series 2014_, of the Board (the “Series 2014_ Bonds”). You are hereby notified that:

The undersigned (the "Underwriter") offers to enter into this Bond Purchase Agreement with The Board of Trustees of the University of Illinois (the "Board"), which, upon the Board's written acceptance of this offer, will be binding upon the Board and upon the Underwriter. This offer is made subject to the Board's written acceptance hereof on or before 5:00 p.m., Chicago time, on the date hereof, and, if not so accepted, will be subject to withdrawal by the Underwriter upon notice delivered to the Board at any time prior to the acceptance hereof by the Board. Initially capitalized terms used but not otherwise defined herein have the same meanings given them in the Official Statement or the Bond Resolution (each hereinafter defined), as the case may be or as the context may require.
