Reference is made to the TERM LOAN AGREEMENT, dated as of April 2, 2014 (the “Loan Agreement”), by and among TAL INTERNATIONAL CONTAINER CORPORATION, a corporation organized under the laws of the State of Delaware (the “Borrower”), the lending institutions from time to time party thereto (the “Lenders”), SUNTRUST BANK, a Georgia state-chartered member of the Federal Reserve System having its principal place of business at 303 Peachtree Street, Atlanta, Georgia 30308, as administrative agent for itself and the other Lenders (in such capacity, the “Administrative Agent”), SUNTRUST ROBINSON HUMPHREY, INC., as Lead Arranger and ING BELGIUM SA/NV, as Syndication Agent.
