Mudharabah is a business cooperation between two parties where the first party (shahibul maal) provides all capital, while the other party becomes the manager (mudharib). Making Mudharabah Agreement as part of Muamalah can be modified in accordance with the times and adjust to the needs, however, making mudharabah contract in sharia banking must still fulfill the principles of sharia.

Mudharaba is an agreement of cooperation in the activities of Islamic Financial Institutions, which occurred between the two sides that is the owner 100% of capital called shahibul maal and who manage capital called mudharib. Talking about mudaraba can be an interesting thing because the causes of the birth of Islamic Financial Institutions, particularly islamic banking is driven by mudharaba's akad. Islamic banking with the principle of mudaraba considered as a solution to the conventional banking (with interest principle). Although mudharaba better known in Islamic banking, but in practice mudharaba also be applied to other Islamic Financial Institutions such as shari’ah insurance, Islamic capital market, Islamic mutual funds and Islamic bonds. In practice, mudharaba contract different between the theories in fiqh, especially fiqh mu'amalah, and practice.

Mudharabah is a labor cooperation contract between two parties where the first person (shahibul mal) prepares 100 % modal, and the other person becomes manager. In mudharabah system Labor benefit is divided based on the agreement written in the contract. In this system losing out is endured by the owner of modal as far as it is not caused by manager careless. If the lose is caused by dishonesty or manager negligent, so the manager has to endure it. Here mudharabah fundamental concept that can be found in this writing. It will be analysis center for comparing the Islamic banking and conventional banking. The different of the both is in profit or benefit taken from the transaction. Conventional banking based the benefit on the interest, from the modal determined it’s profit formerly (riba), and in Islamic banking it is got from the thing called repayment, either fee base income or margin of loss and profit sharing.

The cooperation system or often referred to as a participation contract in business (Mudharabah) is something that can be applied. The goal of this study is to determine how mudharabah contracts are described in traditional fiqh texts and how LKS goods relate to mudharabah contracts.
