Wisconsin Public Finance Professionals, LLC (“WPFP”) is a “municipal advisor” as defined by the Securities and Exchange Commission (“SEC”) Final Rule adopted September 18, 2013. WPFP is registered and regulated by the SEC and the Municipal Securities Rulemaking Board (“MSRB”). The City of Sheboygan (the “City”) Water Utility Board of Commissioners (the “Commissioners”) hereby retains WPFP to serve as its “Municipal Advisor” in accordance with the terms and conditions of this Municipal Advisory Agreement (“Agreement”) effective the date of execution (the “Effective Date”). As Municipal Advisor, WPFP has fiduciary duties, including a duty of care and a duty of loyalty and is required to act in the City’s best interests without regard to its own financial and other interests.

Stifel, Nicolaus & Company, Incorporated (“Stifel”) is pleased to serve as Municipal Advisor to Greater Salt Lake Municipal Services District, Utah (the “District”). As you know, on September 9, 2021, the District entered into an agreement with Stifel (the “Agreement”). The Agreement had a term of two (2) years with the option to extend for an additional two (2) years. We respectfully request that the District extend the Agreement for another two (2) years, ending on September 2, 2025. Future extensions and transaction compensation will be mutually agreed upon in writing using separate correspondence.
