This Mutual Funds Account Administration Agreement (“Agreement”) is entered into as of January 10, 2008, by and between UBS Global Asset Management (US) Inc., a Delaware corporation, (“We” or “Us”) and Union Bank of California, N.A., a national banking association (“You”). We are the exclusive national distributor of the shares (“Shares”) of the investment companies listed on Schedule A hereto (“Funds”), each of which is registered under the Investment Company Act of 1940, as amended (“1940 Act”) or is a series of a registered investment company. We understand that you have or may have customers for whom you act as agent or trustee who may wish to have you purchase Shares for their accounts.
