THIS MUTUAL NON-COMPETITION AGREEMENT (this “Agreement”) dated April 12, 2010 (this “Agreement”) between COVER-ALL SYSTEMS, INC., a Delaware corporation (“Cover-All”), and MOORE STEPHENS CONSULTING LIMITED, a company incorporated under the laws of England and Wales (“MSC”).
