This Mutual Non-Disclosure and Non-Use Agreement (the “Agreement”) is entered into between SUNFLOWER THERAPEUTICS PBC, a Delaware public benefit corporation with offices at 18 Shipyard Drive, Suite 2A, Hingham, Massachusetts 02043 USA (“Sunflower”) and The Universidad Nacional de Colombia, a public university (own by the central government of Colombia) with offices at Bogotá, Colombia, TAX ID 899.999.063-3, legally represented by Dolly Montoya Castro identified with Colombian ID 41.437.894 (the “University”) as of September, 30th, 2020 (the “Effective Date”). Each referred to herein as a “Party” or in the plural as the “Parties.” For the purposes of this Agreement each Party can be both a Receiving Party and a Disclosing Party, as each such term is defined below, and agrees to protect the confidentiality of certain Confidential Information (defined below) of the Disclosing Party, as the case may be, to be disclosed under this Agreement and understands and agrees that said Confidential
