On October 1, 2016, DuPage Medical Group, Ltd., an Illinois professional corporation (“DMG”) and Edward – Elmhurst Healthcare, an Illinois nonprofit corporation (“EEH”) entered into an Agreement where DMG sold its interest in Illinois Health Partners, LLC, an Illinois limited liability company (“IHP) to EEH. As a part of this transaction, IHP transferred its entire ownership interest in the Illinois Health Partners ACO, LLC, an Illinois limited liability company and participant in the Medicare Shared Savings Program (“ACO”) to EEH and DMG to be owned equally (i.e. 50/50).
