This offer letters sets forth the terms of your employment (“Agreement”) with Newegg Inc., a Delaware corporation and/or its subsidiaries, affiliates or related entities, including but not limited to Magnell Associate, Inc. (dba, ABS Computer Technologies, Inc.) (the “Company”). The parties to this Agreement shall collectively be referred to herein as the “Parties”, each a “Party”. Please review this letter carefully. If you accept employment with the Company under the terms and conditions of this Agreement, please sign, date and return this offer letter to me on or before Friday, November 10, 2006, after which this offer will expire and be withdrawn.
