This License Agreement (“Agreement”), dated April 14, 2006, is between AutoGenomics, Inc., a Delaware corporation having an address at 2251 Rutherford Road, Carlsbad, CA 92008, (“LICENSEE”), and Mayo Foundation for Medical Education and Research, a Minnesota corporation, having an address at 200 First Street SW, Rochester, MN 55905, (“MAYO”).
