AGREEMENT (including all appendices hereto, this “Amended Agreement”) is made and entered into as of the date set forth below, by and between the California Department of Water Resources, an agency of the State of California, acting solely under the authority and powers created by AB1-X, codified as Sections 80000 through 80270 of the Water Code (the “Act”), and not under its powers and responsibilities with respect to the State Water Resources Development System (the “Department”) and Soledad Energy, LLC (a California Limited Liability Company) located at 959 Los Coches Drive, Soledad, California (the “Seller”).
