NON-PORTFOLIO PROPERTY INTEREST CONTRIBUTION AGREEMENT (this “Agreement”), dated as of May 9, 2006, by and among GCF II Investor LLC, a Delaware limited liability company (“GCF II”), Gale & Wentworth Vreeland, LLC, a New Jersey limited liability company (“GWV”), MSGW-One Campus Investors, LLC, a Delaware limited liability company (“MSGW”), Mr. Stanley C.
