As an inducement material to the decision by the individual listed below (“Participant”) to accept employment with DASAN Zhone Solutions, Inc., a Delaware corporation (the “Company”), and pursuant to that certain employment agreement entered into by and between Participant and the Company, dated as of August 1, 2020, the Company hereby grants to Participant an option to purchase the number of shares of the common stock of the Company set forth below (the “Option”). This Option is subject to all of the terms and conditions set forth in this Non-Qualified Inducement Stock Option Grant Notice (the “Grant Notice”) and in the Non-Qualified Inducement Stock Option Agreement attached hereto as Exhibit A (the “Agreement”), which is incorporated herein by reference. THIS NON-QUALIFIED INDUCEMENT STOCK OPTION AGREEMENT (“Agreement”) is made as of the date of that certain Notice of Grant of Non-qualified Inducement Stock Option (the “Notice”), which is attached and is made a part of this Agreement, and is by and between Epiq Systems, Inc., a Missouri corporation (the “Company”), and you (the “Employee”).
